These terms govern your use of EbeeGadgets inventory management services. Please read carefully before using our platform.

1. Acceptance of Terms

By accessing or using EbeeGadgets ("Service", "Platform"), you ("User", "Customer", "You") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

1.1 Eligibility

To use EbeeGadgets, you must:

  • Be at least 18 years old or have legal guardian consent
  • Have legal authority to enter into this agreement
  • Operate a legitimate business in Nigeria or authorized jurisdictions
  • Comply with all applicable laws and regulations

1.2 Business Use Only

EbeeGadgets is designed exclusively for business use. Personal use of the platform for non-commercial inventory tracking is not permitted under these terms.

2. Service Description

2.1 Core Services

EbeeGadgets provides cloud-based inventory management services including:

  • Device-level tracking with IMEI/Serial number management
  • Sales transaction processing and receipt generation
  • Staff management and permission controls
  • Business analytics and reporting tools
  • Customer database management
  • Audit trail and security features
  • Data backup and recovery services

2.2 Service Modifications

We reserve the right to modify, update, or discontinue any part of the Service with reasonable notice. Major changes will be communicated at least 30 days in advance.

2.3 Beta Features

Features marked as "Coming Soon" or "Beta" are provided for testing purposes. These features may be modified or removed without notice and are provided "as-is" without warranties.

3. User Responsibilities and Prohibited Uses

3.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and enabling two-factor authentication
  • Regularly reviewing staff access permissions

3.2 Data Accuracy

You warrant that all data you input into EbeeGadgets is accurate, complete, and legally obtained. You must not input data related to stolen goods, counterfeit items, or illegal merchandise.

3.3 Prohibited Uses

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction or internationally
  • Transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to store or transmit infringing content
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute the Service without written permission
Violation of prohibited uses may result in immediate account suspension or termination.

4. Payment Terms and Billing

4.1 Subscription Plans

EbeeGadgets offers annual subscription plans with three tiers:

  • Basic Plan: Essential inventory management features
  • Pro Plan: Advanced features with priority support
  • Enterprise Plan: Full-featured solution with dedicated support

4.2 Payment Processing

Payments are processed through authorized Nigerian payment gateways including Paystack and Flutterwave. All prices are in Nigerian Naira (₦) and include applicable taxes.

4.3 Free Trial

New users receive a 30-day free trial with full access to Pro plan features. No credit card is required for the trial period. The trial automatically expires after 30 days unless a paid subscription is activated.

4.4 Renewal and Cancellation

Annual subscriptions must be manually renewed. We do not store payment information or automatically charge renewal fees. Key points:

  • Renewal notices are sent 30 days before expiration
  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the billing period
  • No refunds for partial periods unless required by law

4.5 Price Changes

We reserve the right to modify pricing with 60 days' notice. Existing subscriptions will continue at the current rate until renewal.

5. Service Availability and Support

5.1 Uptime Commitment

We strive to maintain 99.9% uptime for the EbeeGadgets platform. Scheduled maintenance will be announced at least 24 hours in advance and typically performed during off-peak hours (2:00 AM - 6:00 AM WAT).

5.2 Support Levels

Basic Plan Support

Email support during business hours (9 AM - 5 PM WAT)

Pro Plan Support

Priority email support with 4-hour response time

Enterprise Plan Support

24/7 phone and WhatsApp support with dedicated account manager

5.3 Data Backup and Recovery

We perform automated daily backups of all customer data. In case of data loss, we can restore your account to any point within the last 30 days. However, you remain responsible for maintaining your own data backups.

6. Account Termination and Suspension

6.1 Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your access will be revoked at the end of the current billing period.

6.2 Termination by EbeeGadgets

We may suspend or terminate your account immediately if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees after 30 days grace period
  • Use the Service in a manner that threatens security or performance
  • Provide false or misleading information during registration

6.3 Data Retention After Termination

After account termination, your data will be retained for 90 days to allow for account reactivation or data export. After 90 days, all data is permanently deleted for security and privacy compliance.

Data Export: Pro and Enterprise users can export their complete data in CSV format before or after termination (within the 90-day period).

7. Liability and Warranties

7.1 Service Warranty

EbeeGadgets is provided "as-is" with a limited warranty that the Service will substantially conform to the documented features during your subscription period. We do not warrant that the Service will be error-free or uninterrupted.

7.2 Disclaimer of Warranties

To the maximum extent permitted by Nigerian law, we disclaim all other warranties, including:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties regarding the accuracy or completeness of data
  • Warranties that the Service will meet your specific business requirements
  • Warranties regarding third-party integrations or services

7.3 Limitation of Liability

Our total liability to you for any claims arising from or related to the Service shall not exceed the total amount paid by you for the Service in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

7.4 Indemnification

You agree to indemnify and hold EbeeGadgets harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

8. Intellectual Property Rights

8.1 EbeeGadgets Intellectual Property

The EbeeGadgets platform, including software, design, content, trademarks, and documentation, is owned by EbeeGadgets Ltd and protected by Nigerian and international intellectual property laws.

8.2 Your Data Ownership

You retain all rights to your business data stored in EbeeGadgets. We do not claim ownership of your inventory data, customer information, or business records.

8.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to use EbeeGadgets during your subscription period, subject to these Terms.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be subject to the exclusive jurisdiction of Nigerian courts.

9.2 Dispute Resolution

Before filing any legal action, parties agree to attempt resolution through:

  • Direct Negotiation: 30 days of good-faith discussions
  • Mediation: Binding mediation through Kano Chamber of Commerce
  • Arbitration: Final arbitration under Nigerian Arbitration laws

9.3 Class Action Waiver

To the extent permitted by Nigerian law, you agree to resolve disputes individually and waive the right to participate in class action lawsuits.

10.2 Amendments to Terms

We may update these Terms to reflect changes in our services or legal requirements. Significant changes will be communicated via email 30 days before taking effect. Continued use after changes constitutes acceptance of the new Terms.

10.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
